These Terms of Service (“Terms”) govern your access to and use of the Linemate website and the Linemate platform (collectively, the “Service”) provided by Linemate Pte. Ltd. (“Linemate”, “we”, “us”, or “our”). By accessing or using the Service, you agree to these Terms.
1. Who these Terms apply to
If you are using the Service on behalf of a company or other organisation, you represent that you have authority to bind that organisation, and “you” includes that organisation. Individual end users invited by a customer organisation must also comply with these Terms and any additional policies set by their organisation.
2. The Service
Linemate is a WhatsApp-based operational excellence platform that helps multi-location retail and restaurant brands run checklists, audits, issue reporting, training, communication, and related operational workflows. Features available to you depend on your plan, configuration, and region. We may update, improve, or discontinue parts of the Service with reasonable notice where practical.
The marketing website is provided for information. Product descriptions on the site are illustrative and do not replace a signed order form or customer agreement where one exists.
3. Accounts and access
- You must provide accurate registration and contact information and keep it up to date
- You are responsible for activity under your accounts and for safeguarding credentials and WhatsApp-linked access used with the Service
- Customer administrators are responsible for managing user access, outlet configuration, and permissions within their organisation
- You must promptly notify us of unauthorised access or security incidents related to your use of the Service
4. Customer content and WhatsApp workflows
“Customer Content” means data, messages, photos, files, checklist answers, audit evidence, and other materials submitted to or generated in the Service by you or your users. You retain ownership of Customer Content. You grant Linemate a worldwide, non-exclusive licence to host, process, transmit, display, and otherwise use Customer Content solely to provide, secure, support, and improve the Service and as otherwise permitted in your customer agreement.
You are responsible for ensuring you have all rights and notices required to submit Customer Content, including personal data of employees, contractors, or other individuals, and for configuring workflows appropriately. WhatsApp is operated by third parties; your use of WhatsApp remains subject to Meta/WhatsApp terms and policies in addition to these Terms.
5. Acceptable use
You agree not to:
- Use the Service unlawfully or for fraudulent, harmful, or abusive purposes
- Attempt to gain unauthorised access to systems, accounts, or data
- Interfere with or disrupt the Service, including by introducing malware or overloading infrastructure
- Reverse engineer, scrape, or copy the Service except as allowed by mandatory law
- Use the Service to send spam or unsolicited marketing unrelated to legitimate operational workflows your organisation has authorised
- Misrepresent your identity or affiliation, or upload content that infringes others’ rights
6. Fees and plans
Paid plans, pricing, billing cycles, and payment terms are set out on our Pricing page and/or in an order form or customer agreement. Unless otherwise agreed in writing, fees are non-refundable except where required by law. We may change list pricing prospectively with notice; committed contract pricing remains as agreed for the then-current term.
7. Intellectual property
Linemate and its licensors own all rights in the Service, including software, designs, trademarks, documentation, and branding. Except for the limited right to use the Service under these Terms or your customer agreement, no rights are granted to you. You may not use Linemate marks without prior written permission.
8. Third-party services
The Service may interoperate with third-party products such as WhatsApp, cloud hosting, analytics, or identity tools. We are not responsible for third-party services. Your use of them is governed by their own terms and privacy policies.
9. Confidentiality
Each party may receive non-public information from the other. The receiving party will use that information only to perform under these Terms and will protect it with reasonable care. Confidentiality obligations do not apply to information that is public, independently developed, or rightfully received from a third party without restriction.
10. Disclaimers
Except as expressly stated in a signed customer agreement, the Service is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that it will meet every operational or compliance requirement of your business. You remain responsible for your own legal, food-safety, labour, and regulatory compliance.
11. Limitation of liability
To the fullest extent permitted by law, Linemate will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data, arising out of or related to the Service or these Terms, whether based on contract, tort, or any other theory. Our aggregate liability arising out of or related to the Service in any twelve-month period will not exceed the amounts you paid to Linemate for the Service in that period (or SGD 100 if you use only free website features). Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the maximum extent permitted.
12. Indemnity
You will defend and indemnify Linemate against claims, damages, and expenses arising from your Customer Content, your misuse of the Service, or your violation of these Terms or applicable law, except to the extent caused by our wilful misconduct.
13. Suspension and termination
We may suspend or terminate access to the Service if you breach these Terms, create security or legal risk, fail to pay fees when due, or if required by law. You may stop using the website at any time. Paid subscriptions end according to your order form or customer agreement. Upon termination, your right to use the Service stops; provisions that by nature should survive (including intellectual property, disclaimers, limitations of liability, and governing law) will survive.
14. Governing law and disputes
These Terms are governed by the laws of Singapore, without regard to conflict-of-law rules. Courts of Singapore have exclusive jurisdiction over disputes arising from these Terms or the Service, unless a signed customer agreement specifies otherwise.
15. Changes to these Terms
We may update these Terms from time to time. The “Last updated” date will change when we do. If a change is material, we will provide reasonable notice via the website, email, or in-product notice. Continued use after the effective date constitutes acceptance of the updated Terms, except where a signed customer agreement requires a different change process.
16. General
These Terms, together with any order form or customer agreement and our Privacy Policy, are the entire agreement regarding the website and, unless superseded by a signed contract, the Service. If there is a conflict between these Terms and a signed customer agreement, the signed agreement controls for that customer’s paid Service. If any provision is unenforceable, the remainder stays in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a corporate transaction.
